These Terms of Service ("Terms") govern your access to and use of the website wplabs.dev (the "Site") operated by Web Production Labs LLC ("WP Labs," "we," "us," or "our"), a Georgia limited liability company.

By accessing or using our Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site.

1. Use of the Site

Permitted Use

You may use our Site for lawful purposes only. You are granted a limited, non-exclusive, non-transferable right to access and use the Site for personal or business evaluation of our services.

Prohibited Conduct

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of the Site, its servers, or any systems connected to the Site
  • Interfere with or disrupt the Site or its infrastructure
  • Use automated tools (bots, scrapers, crawlers) to access or collect data from the Site without our prior written consent
  • Transmit any viruses, malware, or other harmful code through the Site
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Reproduce, duplicate, copy, sell, or exploit any portion of the Site without our express written permission

2. Services

Description

WP Labs provides AI-powered software development, workflow automation, custom internal tools, MVP development, and related consulting services. Descriptions of our services on the Site are for informational purposes only and do not constitute a binding offer.

Separate Agreements

The actual provision of our development and consulting services is governed by separate agreements, including a Master Services Agreement (MSA) and Statement of Work (SOW), which will be negotiated and executed between WP Labs and the client before any work begins. These Terms do not govern the delivery of our professional services.

Pricing

Pricing information displayed on the Site represents typical ranges and is provided for general reference only. Actual pricing for your project will be determined based on scope, complexity, and requirements, and will be detailed in a separate Statement of Work.

3. Intellectual Property

Our Content

All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, "Site Content"), is the property of Web Production Labs LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

Our Trademarks

"WP Labs," "Web Production Labs," and our logo are trademarks or service marks of Web Production Labs LLC. You may not use our trademarks without our prior written consent.

Limited License

We grant you a limited, revocable, non-exclusive license to access and use the Site Content for your personal, non-commercial use. This license does not include the right to modify, reproduce, distribute, display, or create derivative works from the Site Content.

4. User Submissions

Contact Form and Communications

When you submit information through our contact form or communicate with us through the Site, you grant us the right to use that information for the purpose of responding to your inquiry and evaluating potential business opportunities.

No Confidential Submissions

Unless we have a separate written confidentiality agreement (such as a Mutual NDA), any information you submit through the Site is not considered confidential. Do not submit proprietary or confidential business information through the contact form. If you wish to discuss confidential matters, please request an NDA before sharing sensitive details.

5. Third-Party Links and Services

Our Site may contain links to third-party websites or integrate with third-party services (such as Calendly for scheduling). These third-party services are not under our control, and we are not responsible for their content, privacy practices, or terms of use. We encourage you to review the terms and privacy policies of any third-party services you access through our Site.

6. Disclaimer of Warranties

THE SITE AND ALL SITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF THE SITE CONTENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEB PRODUCTION LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE
  • ANY CONTENT OBTAINED FROM THE SITE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

8. Indemnification

You agree to indemnify, defend, and hold harmless Web Production Labs LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

9. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Site shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association, with the arbitration taking place in the State of Georgia.

Waiver of Class Action

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting of the revised Terms on the Site with an updated "Last Updated" date. Your continued use of the Site after any changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Web Production Labs LLC regarding your use of the Site and supersede all prior and contemporaneous agreements, representations, and understandings.

13. AI Readiness Audit Terms

The AI Readiness Audit is a paid service at $497 USD. Payment is due upon submission of the assessment form. The fee is non-refundable once the assessment is submitted, as it covers our team's time and analysis. Delivery is within 2-3 business days of submission. The $497 fee is credited in full toward any project engagement initiated within 90 days of audit delivery. WP Labs reserves the right to decline an audit request and issue a full refund if the submission is incomplete, fraudulent, or outside our area of expertise.
